Solo License

Andy Leverenz c/o Rails UI grants you an on-going, non-exclusive license to use the Components and Templates.

The license grants permission to one individual (the Licensee) to access and use the Components and Templates.

You can:

  • Use the Components and Templates to create unlimited End Products.
  • Modify the Components and Templates to create derivative components and templates. Those components and templates are
  • subject to this license.
  • Use the Components and Templates to create unlimited End Products for unlimited Clients.
  • Use the Components and Templates to create End Products where the End Product is sold to End Users.
  • Use the Components and Templates to create End Products that are open source and freely available to End Users.

You cannot:

  • Use the Components and Templates to create End Products that are designed to allow an End User to build their own End Products using the Components and Templates or derivatives of the Components and Templates.
  • Re-distribute the Components and Templates or derivatives of the Components and Templates separately from an End Product, neither in code nor as design assets.
  • Share your access to the Components and Templates with any other individuals.
  • Use the Components and Templates to produce anything that may be deemed by Andy Leverenz c/o Rails UI, in their sole and absolute discretion, to be competitive or in conflict with the business Andy Leverenz c/o Rails UI.

Solo License Examples

Examples of usage permitted under the license:

  • Developing a Corporate Site: Build and deploy a website tailored for your own business's operations.
  • Client-specific Web Projects: Construct web platforms or applications specifically designed for a client's ownership and exclusive use.
  • Launching a Paid SaaS Solution: Develop and offer a subscription-based software service, such as a billing system, where end users incur charges for access.
  • Selling Custom Software: Create and distribute a self-hosted software application directly to consumers, charging a one-time purchase fee.
  • Open Source Web Initiatives: Engineer a web application with a distinct functionality, like an event management platform, which utilizes our components or templates. This application should be open source, allowing free access and modification of its source code.

Examples of usage not permitted under the license:

  • Public Distribution of Component Collections: Compiling a public repository of your preferred Rails UI components or templates, including any derivatives, is prohibited.
  • Developing and Distributing a UI Kit: It is not permitted to create a user interface library from Rails UI components and distribute it, whether for profit or free of charge.
  • Framework Conversion: Transforming any Rails UI template for use with another framework and then offering it for sale or for free is forbidden.
  • Website Builder Applications: You may not develop a tool that allows end users to create their own websites using any components or templates from Rails UI.
  • Theme and Template Sales: Creating and selling or freely distributing themes or templates that incorporate Rails UI components or templates is not allowed.
  • Admin Tool Development: Constructing administrative tools similar to those like Laravel Nova or ActiveAdmin with our components and making them available for purchase or free download is prohibited.
  • Personal or External Projects: Rails UI materials must not be used for projects that are not strictly for your company or its clients, such as personal projects or side ventures by employees or contractors.
  • Licensing and Access Restrictions: Using a Rails UI license to grant access to third parties, such as customers purchasing unrelated products (e.g., courses), is not permitted.
  • License Sharing: Selling or sharing your Rails UI account access to individuals outside of your organization is strictly forbidden.

Team License

Andy Leverenz c/o Rails UI grants you an on-going, non-exclusive license to use the Components and Templates.

The license grants permission for 30 Employees and Contractors of the Licensee to access and use the Components and Templates.

You can:

  • Use the Components and Templates to create unlimited End Products.
  • Modify the Components and Templates to create derivative components and templates. Those components and templates are subject to this license.
  • Use the Components and Templates to create unlimited End Products for unlimited Clients.
  • Use the Components and Templates to create End Products where the End Product is sold to End Users.
  • Use the Components and Templates to create End Products that are open source and freely available to End Users.

You cannot:

  • Use the Components or Templates to create End Products that are designed to allow an End User to build their own End Products using the Components or Templates or derivatives of the Components or Templates.
  • Re-distribute the Components or Templates or derivatives of the Components or Templates separately from an End Product.
  • Use the Components or Templates to create End Products that are the property of any individual or entity other than the Licensee or Clients of the Licensee.
  • Grant access to the Components and Templates to individuals who are not an Employee or Contractor of the Licensee.
  • Use the Components or Templates to produce anything that may be deemed by Andy Leverenz c/o Rails UI, in their sole and absolute discretion, to be competitive or in conflict with the business Andy Leverenz c/o Rails UI.

Team License Examples

Examples of allowed uses:

  • Creating a website for your company.
  • Creating a website or web application for a client that will be owned by that client.
  • Creating a commercial SaaS application (like an invoicing app, for example) where end users have to pay a fee to use the application.
  • Creating a commercial self-hosted web application that is sold to end users for a one-time fee.
  • Creating a web application where the primary purpose is clearly not to simply re-distribute the components or templates (like a conference organization app that uses the components for its UI, for example) that is free and open source, where the source code is publicly available.

Examples of uses not allowed:

Bear in mind this list is not exaustive.

  • Public Component Repository: You can't create a public GitHub repository containing your favorite Rails UI components or templates, and share it with others.
  • UI Library Development: You can't build a UI library using Rails UI components and sell it or distribute it for free.
  • Template Conversion: You can't convert a Rails UI template to work with a different framework (like Bootstrap or Materialize) and sell it or give it away.
  • Website Builder Platform: You can't create a platform that lets users build their own websites using Rails UI components or templates.
  • Theme or Template Development: You can't create a theme or template using Rails UI components and sell it or distribute it for free.
  • Admin Panel Tools: You can't build an admin panel tool (like ActiveAdmin) using Rails UI components and sell it or give it away.
  • Side Projects: Your employees or contractors can't use your company's Rails UI license to build their own personal websites or side projects.
  • Product Bundling: You can't bundle Rails UI access with another product or service you sell (like an online course).
  • Team Account Sharing: You can't sell access to your team account to people who don't work for your company.

Consequences of Misuse

If you break the rules of our license, we'll cancel your Rails UI account immediately and might give you a refund, depending on the situation. But if you intentionally try to share our materials illegally (like sharing them on secret pirate websites), you won't get a refund.

Ownership and Legal Rights

Andy Leverenz c/o Rails UI. owns the rights to the Components and Templates. We're giving you permission to use them under this license, but we reserve all other rights. If you use them in a way that's not allowed, we might take legal action.

Responsibility

If something goes wrong with your use of the Components or Templates, our responsibility is limited to refunding your subscription fee. We can't be held responsible for any additional costs or damages, including problems caused by third-party claims. We also won't be liable for any indirect losses or consequences related to your use of the Components or Templates.

Legal Details

This agreement is subject to the laws of the state of Missouri, United States. Any legal issues will be handled in Missouri courts. We'll send any legal documents to the email address you used when you first ordered.
